Corporations


Corporations, limited liability companies, and limited partnerships in Georgia are formed by filing with the Corporations Division. Some foreign (out-of-state) entities which do business in Georgia also must file with the Corporations Division. Although the information provided on this site aids in the process of forming a business entity, the question of whether a particular entity should be formed can be complex, so the Corporations Division recommends consultation with an attorney and an accountant. The Corporations Division serves as custodian of the filings and provides copies and certifications of documents. It does not provide legal advice and does not have the authority to intervene in disputes between consumers and businesses, between businesses, or between shareholders, members, officers, or other persons involved in an enterprise.

The Elections Division of the Secretary of State’s Office organizes and oversees all election activity, including voter registration, municipal, state, county and federal elections. They are responsible for certification of election results as well as certifying the qualification of candidates and preparation of ballots and election forms and materials. Elections provide Great Seal certification for authentication of public documents for foreign use; non-hague countries. Along with those duties the Elections Division maintains the Statewide Voter Registration Database to ensure that voter registration lists are current statewide. They are also accountable to investigating election fraud and enforcing state election laws.


Licensing


**Effective July 1 2014, The Georgia Board of Accountancy is no longer housed with the Professional Licensing Board Division of the Office of the Secretary of State. The Board of Accountancy is now housed within the State Accounting Office. This action was taken legislatively in HB 291, and was supported by the Georgia Association of Accountants and Tax Professionals. The Securities Division of the Secretary of State’s Office is charged with the implementation and enforcement of the Georgia Uniform Securities Act of 2008. The Securities Division registers securities offered or sold in Georgia, oversees firms and individuals selling securities or providing investment advice in Georgia, enforces the Securities Act through criminal, civil and administrative penalties, and promotes investor education.

Additionally, persons wishing to register a security with the Commissioner will find all requisite forms under the tab “Securities Forms."
