Secretary of State’s Office Announces Refund Process for Past Annual Registration Fees Assessed to Non-Profit Corporations and Foreign Limited Liability Partnerships 

Atlanta—Georgia Secretary of State Brian Kemp announced today that non-profit corporations and foreign (out of state) LLPs that filed an annual registration between August 12, 2010 and April 13, 2012 may be eligible for a partial refund of their annual registration fees.

In 2010, the Georgia General Assembly passed HB 1055 which increased the annual registration fee for corporations, partnerships, associations, domestic limited partnerships, and limited liability companies from $30 to $50. Through an internal review of agency practices, it was discovered that during the implementation of HB 1055, the corporations filing system was incorrectly reprogrammed to assess a $50 annual registration fee for non-profit corporations and foreign LLPs as well.   

Corporate entities that were affected by this error are being notified by the Corporations Division by email or first class mail. This communication instructs the entity to visit a secure website ( and follow the listed instructions to receive the refund. 

“I am very disappointed that we did not catch this programming error sooner, but we are working to resolve the issue as quickly as possible with minimal impact on the affected corporations,” Kemp said.

Among the office’s wide-ranging responsibilities, the Secretary of State is charged with conducting efficient and secure elections, the registration of corporations, and the regulation of securities and professional license holders.
