How to File

One Click Annual Registration 

  • File annual registration without making changes and without logging in. Entity must be current on all annual registration fees in order to use One Click Annual Registration

 Annual Registration or Online Services

  • File annual registration with or without making changes after logging into eCorp. Filer will be able to review all filings and receipts in the filer’s dashboard, and the annual registration and receipt will also be emailed to the filer. 

Print Annual Registration Form

  • File annual registration form by printing out the form and mailing the completed form and payment with a check or money order.  There is an additional $10 service charge if an annual registration is submitted in paper format.

Multi-Year Filing Option

  • File for the current year. 
  • File for two consecutive years. 
  • File for three consecutive years.

Timeline

  • Entity annual registrations are due by April 1st of each year it is due,  but may be filed as early as January 1st.   
  • An entity may file its annual registrations in advance for a period up to and including 3 calendar years. 
  • Please confirm whether your entity’s registration is due for the current year.   Fees paid for filing an annual registration are non-refundable.

Methods of Payment

Credit Cards:
The Corporations Division accepts credit cards (Visa, MasterCard, Discover, American Express) and ATM/Debit cards with the Visa or MasterCard logo. 

Checks:
All checks must be pre-printed with a complete address in order to be accepted by our offices for your filing. Absolutely no counter or starter checks will be accepted. Failure to adhere to these guidelines will significantly delay or possibly reject your filing. 

Returned Check/Dishonored Credit Card Payment Policy:
Checks or credit/debit card payments that are dishonored by your bank or credit card company are subject to a $30.00 NSF charge, along with payment for the dishonored item. Failure to honor your payment within 10 days of notification could result in the following action(s): 

1. In accordance with O.C.G.A. § 13-6-15, the Secretary of State may file a civil suit against you.

2. In accordance with Title 14 of the Official Code of Georgia Annotated, the Secretary of State may commence a proceeding to administratively dissolve or revoke an entity if a fee paid to the Secretary of State by the entity, or on behalf of the entity, is dishonored and the entity, or its representative, has not submitted payment for said dishonored payment within sixty (60) days from a notice of nonpayment issued by the Secretary of State.

Filings that are mailed to our offices require payment with a check, certified bank check, or money order. Hand-delivered filings may be paid by check, certified bank check, money order, or credit card. 

We cannot accept cash for payment.

Important Information

  • Filing the annual registration provides a current record of an entity’s management structure, correct mailing address, and registered agent’s name and address. 
  • In addition, entities that do not timely file annual registrations, together with all required fees, may be subject to administrative dissolution or revocation of their authorization to transact business in this State. O.C.G.A. §§ 14-2-1420, 14-3-1420, 14-2-1530, 14-3-1530, 14-8-51, 14-11-603 and 14-11-708.
  • It is extremely important that each entity verify its information prior to filing an annual registration. 
  • Corrections can only be made by filing another annual registration or an amended annual registration and paying the appropriate filing fee. 
  • The Secretary of State does not have the statutory authority to rescind annual registration filings or refund fees once they have been submitted. 
  • Additionally, a person who signs a document he or she knows is false in any material respect with the intent that the document be delivered to the Secretary of State for filing shall be guilty of a misdemeanor and, upon conviction thereof, shall be punished by a fine not to exceed $500.00. O.C.G.A. § 14-2-129.
