Federal Covered Security Notice Filing for SEC Rule 506 Offerings

On March 21, 2025, Georgia adopted an amendment to Rule 590-4-2-.02, Federal Covered Security Notice Filing Requirement for Offerings Pursuant to Rule 506.

 EFFECTIVE April 14, 2025, Georgia will require the following: 

  1. The addition of the annual renewal filing requirement and a $100.00 (One Hundred Dollars) renewal fee on notice filings of federal covered securities pursuant to Rule 506;
  2. A $10.00 (Ten Dollars) processing fee on required filings by the issuers of federal covered securities offered pursuant to Rule 506; and,
  3. Mandated use of NASAA’s EFD filing platform. 

Order Implementing Filing Requirements

The current outbreak of coronavirus disease 2019 (COVID-19) was first reported on December 31, 2019 in Wuhan, China.  The disease has led to disruptions to everyday life including the imposition of quarantines around the world, which may limit individuals’ access to facilities, personnel, and third party service providers.  The Commissioner of Securities recognizes that, in these circumstances, COVID-19 poses potential challenges to registrants in meeting certain requirements under the Georgia Uniform Securities Act of 2008 and rules promulgated thereunder. To ease the burden on issuers, the Commissioner finds that the following Order is in the public interest.
